Andrew Vitrano

Andrew’s career spans twenty years on the legal and business sides of the financial services, software and professional services industries.  Andrew has served as Vice President, Deputy General Counsel and Assistant Corporate Secretary at a publicly-traded software company, and as Corporate Finance and Securities Counsel at a publicly-traded global systems integration and technology consulting firm. As in-house counsel, Andrew has worked closely with boards of directors and executive management teams on corporate, securities and governance matters and has managed responses to dramatic events such as an SEC investigation, FINRA inquiries, whistleblower allegations and shareholder class action lawsuits. He has guided companies through public and private stock offerings, proxy seasons, mergers and acquisitions, restructurings and other significant transactions. In private practice through Vitrano & Associates, LLC, a Conduko Professional Services Partner, Andrew has represented clients in federal court on a variety of matters including copyright and trademark, and he has served as outside General Counsel and Corporate Secretary to emerging growth companies.

Andrew’s legal career follows six years in the financial services sector, where he was a FINRA Registered Representative and Equities Trader and was part of a pioneering team of professionals that introduced one of the first Internet-based brokerage platforms.

Andrew earned a J.D. degree from Seton Hall University School of Law and a B.A. degree from New York University's Gallatin Division. He is licensed to practice law in the State of New York and is admitted to practice before the U.S. District Courts for the Southern and Eastern Districts of New York.
