Joan is a commercial and transactional attorney with 27 years of in-house and law firm experience. For the past 17 years, Joan’s practice has been concentrated in technology, management consulting and “Big Data” analytics. She has served as General Counsel and Associate General Counsel at a variety of companies in the technology and management consulting spaces including Capgemini, a global technology consulting and outsourcing company, BearingPoint (formerly KPMG Consulting), a global technology consulting and systems integration company, and Opera Solutions, a “Big Data” analytics company.

She has significant experience drafting and negotiating a variety of complex commercial agreements with clients, strategic alliance partners, licensors, subcontractors, and vendors, including software licensing, software as a service, analytics as a service, consulting services, subcontractor, teaming, alliance, data license, data processor, outsourcing, application service provider, reseller, confidentiality and business associate agreements and statements of work. Joan is a strong negotiator with a proven ability to handle a large volume of complex commercial agreements from initial negotiation stages through execution. She is a strategic business partner with significant experience addressing contractual issues related to intellectual property, information security and data privacy and counseling management and other business stakeholders to assess and manage the legal and business risks associated with complex, commercial transactions, IP asset protection, employment- and litigation-related matters, data privacy and information security.
Joan earned a J.D. degree from Boston University School of Law and a B.S. degree from the Wharton School of Business at the University of Pennsylvania. She is admitted to practice law in the State of New York.
